Welcome to Basis and our Terms of Use (these "Terms"). These Terms are important and affect your legal rights, so please read them carefully.

By accessing or using the websites, mobile applications, or services (collectively, the "Services") provided by Basis Nutrition that link to these Terms, you agree to be bound by these Terms and all terms incorporated herein by reference, including our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services or order, receive, or use the meals, products, or other items made available through the Services (collectively, the "Products").

Basis reserves the right to change or modify these Terms at any time and in our sole discretion. If we make changes to these Terms, we will provide notice of such changes by updating the "Last Updated" date. By continuing to access or use the Services or order, receive, or use Products, you confirm your acceptance of the revised Terms.

1. Privacy Policy

Please refer to our Privacy Policy section below for information about how we collect, use, and disclose information about you.

2. Eligibility

The Services are not targeted toward or intended for use by anyone under the age of 18. By using the Services, you represent and warrant that you (a) are 18 years of age or older, (b) are a legal resident of the United States, (c) have the full power and authority to enter into these Terms, and (d) have not been previously suspended or removed from the Services.

3. Registration and Account

To access and use certain areas or features of the Services, you may need to register for a Basis account. By creating an account, you agree to provide accurate, current, and complete account information, maintain the security of your account credentials, and immediately notify us if you discover any security breaches.

4. Terms of Sale

4.1 Subscriptions

When you register for a meal subscription, you expressly acknowledge and agree that (a) Basis is authorized to charge you on a recurring basis for your subscription, (b) the amount you are charged may vary based on your preferences, and (c) your subscription continues until you cancel it or we suspend access to the Services.

4.2 Cancellation

You may cancel your subscription at any time by logging into your account and clicking "Cancel." Any meal order that has been processed cannot be cancelled, and you will not receive a refund of fees already paid.

4.3 Payment

By providing a credit card or other payment method, you authorize us (or our third-party payment processor) to charge your payment method for your subscription and other purchases.

4.4 Pricing

All prices are shown in U.S. dollars and are exclusive of applicable taxes. We reserve the right to adjust prices at any time. All Products are subject to availability.

4.5 Taxes

We will collect applicable sales tax on Products delivered to states where we have a duty to collect sales tax.

4.6 Delivery

You are responsible for inspecting all Products upon delivery and reporting any damage or issues immediately. Delivery is generally handled by a third-party courier.

4.7 Returns and Refunds

If you are dissatisfied with any Product, please contact us at support@basismeals.com within seven (7) days of delivery. Depending on the circumstances, we may, in our sole discretion, replace the Product, provide a refund, or issue a credit toward future deliveries.

5. Intellectual Property

Unless otherwise indicated, the Services and all content are the proprietary property of Basis or our licensors. You are granted a limited, nonexclusive license to access and use the Services subject to these Terms. This license is revocable at any time.

6. User Conduct

You agree that you will not violate any law or the rights of any third party while using the Services. You are solely responsible for your conduct and any content you create or share.

7. Disclaimers

You are solely responsible for the proper handling, storage, preparation, and consumption of Products. All Products and Services are provided on an "as is" basis without warranties of any kind.

8. Limitation of Liability

To the fullest extent permitted by law, Basis shall not be liable for any indirect, incidental, or consequential damages. Our maximum liability is limited to the greater of $250 or the amount you paid in the one month preceding your claim.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the District of Columbia, without regard to conflicts of law.

10. Termination

Basis reserves the right to terminate your access to the Services at any time and for any reason, without notice.

11. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Basis relating to the Services.
